This Terms of Use / Service Agreement (“Agreement”) is between NRev Labs Private Limited, doing business as NRev, with its registered office in Pune, Maharashtra (“NRev,” “Company,” “we,” “us,” or “our”), and the person or entity (“you” or “your”) that uses our services, websites, apps, or any features, products, graphics, text, images, photos, audio, video, location data, computer code, or any other data or communications (collectively, the “Services”).

YOU MUST CONSENT TO THIS AGREEMENT TO USE OUR SERVICES.

‍If you do not accept and agree to all terms of this Agreement, including the Privacy Policy located at https://www.nrev.ai/privacy-policy and incorporated herein by reference, you may not use the Services.

If we update this Agreement, we will notify you and provide an opportunity to review the updates before continuing to use the Services.

1. Description of the Services

NRev AI provides autonomous GTM workflow automation and related functionalities. The platform interprets and operates on GTM-native data models to help users create, manage, and execute workflows.

2. Accessing the Services

We reserve the right to change or modify the Services at any time, without notice. We will not be liable if any part of the Services is unavailable for any period.

3. Log-in Information

If you are provided with a username, password, or any security credentials, you must keep them confidential and not share them with anyone.You must notify us immediately of unauthorized access or security breaches.

4. Intellectual Property

We respect the intellectual property rights of others and expect users to do the same. We may disable or terminate accounts of individuals who infringe intellectual property rights.

5. Your Use of the Services

5.1 Your Representations

By using the Services, you represent that:

1. You have the authority to enter this Agreement.
2. You are at least 18 years old, or 13+ with parental/guardian consent.
3. You are not restricted by law or prior suspension from using the Services.

5.2 Truthfulness of Information

All information you provide must be complete, accurate, and truthful.

5.3 Limited Use of Services

You agree:

• Not to use proprietary information except as permitted.
• Not to interpret use of the Services as a license to our intellectual property.
• Not to diminish our intellectual property rights.

6. Prohibited Activities

You may not:

• Use the Services for commercial purposes not authorized by NRev.
• Reproduce, modify, distribute, sell, or create derivative works of the Services.
• Use the Services unlawfully or induce unlawful activity.
• Promote violence, discrimination, or hatred.
• Access another’s account without permission.
• Publish malicious code.
• Spam or misuse communication channels.
• Reverse engineer or attempt to obtain source code.
• Solicit personal information unlawfully.
• Negatively affect other users’ experience.
• Use the Services for:
  
  • Debt collection
  • Hard background checks
  • Government license eligibility
  • Data privacy–prohibited purposes (GDPR, CCPA)
  • Intelligence agency activities
  • Law enforcement evidentiary purposes
  • Fair Credit Reporting Act–covered purposes

7. Payments

7.1 Third-Party Payment Services

Payments are handled by Stripe. Payment disputes must be resolved directly with Stripe.

7.2 Online Payment Terms

Users who subscribe via the website will be charged based on agreed terms.

7.3 Order Form Payment Terms

Order Form pricing overrides website pricing for users with signed Order Forms.

7.4 Taxes

Fees exclude taxes. You must pay all applicable taxes except those based on Company’s net income.

7.5 Refunds

Refund requests must be made via support@nurturev.com.

Refund eligibility:

• Within 14 days of purchase.
• No-questions-asked refund if service credits have not been applied.
• Other requests within 14 days will be reviewed at our discretion.
• Approved refunds are processed within 7 days, subject to payment provider timelines.

8. Disclaimers, Waivers & Limitation of Liability

8.1 Third-Party Content

We do not endorse or guarantee third-party users or content.

8.2 Disclaimer of Warranties

Services are provided “as is” without warranties of any kind.

8.3 AI Output Disclaimer

NRev does not guarantee accuracy, completeness, or suitability of AI-generated outputs.You bear full responsibility for decisions made based on AI outputs.

8.4 Limitation of Liability

Our total liability shall not exceed the fees paid by you in the preceding six (6) months.

8.5 Waiver of Liability

You waive claims for injuries or damages arising out of use of the Services, including negligence.

• Acknowledged within 48 hours

8.7 Governing Law

This Agreement is governed by the laws of India.Only Pune, Maharashtra courts have jurisdiction.

9. Indemnification

You agree to indemnify and hold NRev harmless against any third-party claims, damages, or regulatory actions arising from your use of the Services or violation of laws.

You must pay indemnification invoices within 15 days. If legal action is required to recover these amounts, you will be responsible for those costs as well.

10. Confidentiality

10.1 Definition

Confidential Information includes non-public information such as business plans, datasets, GTM configurations, technical data, user content, financial information, etc.

10.2 Obligations

You must:

• Maintain strict confidentiality
• Use the same care as for your own confidential information (minimum: commercially reasonable)
• Share only with people under similar confidentiality obligations
• Use confidential information only for the Services

10.3 Exclusions

Confidential Information does not include information that is:

• Public
• Already known
• Independently developed
• Rightfully received from a third party
• Required to be disclosed by law (with notice provided)

10.4 Return/Deletion

Upon termination or request, Confidential Information must be deleted or returned.

10.5 Survival

Confidentiality obligations last 5 years, except trade secrets, which survive indefinitely.

11. Limitation of Services & Termination

• We may remove content at any time.
• We may suspend, terminate, or block access for violations, interference, misrepresentation, or unlawful activity.
• You have no inherent right to use the Services.
• User-generated content remains owned by the user, but you grant us a worldwide, irrevocable, royalty-free license to use it.
• We are not responsible for user-generated content.
• Certain rights survive termination.

12. General Provisions

12.1 DMCA

Claims of copyright infringement may be sent to: support@nurturev.com

12.2 Successors & Assignees

We may assign this Agreement; you may not.

12.3 Venue

All disputes must be brought exclusively in Pune, Maharashtra.

12.4 Dispute Resolution

Parties must attempt resolution for 30 days before filing claims.

12.5 Class-Action Waiver

You may only resolve disputes on an individual basis.

12.6 Waiver

A waiver in one instance is not a waiver of any future rights.

12.7 Severability

Invalid provisions will be enforced to the maximum extent possible. Remaining provisions remain effective.

12.8 Understanding of Agreement

You acknowledge understanding of all terms and accept full binding effect.
